BOEM Qualification Requirements

Requirements - Holding leases and/or ROWs in the OCS

Citizens must submit written statement attesting to their U. S. Citizenship. Need not be notarized nor give age of individual. If resident alien must submit photocopy of Bureau of Immigration Form as evidence of legal status.

Name of corporation exactly as it appears on all legal documents.              
Certified statement by Secretary or Assistant Secretary, over corporate seal, identifies State of Incorporation and declaring the Corp. is authorized to hold BOEM leases & ROW.              
Certificate of Incumbency listing officers authorized to bind corp. certified by Secretary or Assistant Secretary over corporate seal.              
Evidence of authority of persons to bind the corporation, certified by Secretary or Assistant Secretary over corporate seal to include the following:
  • Certified copy of resolution of the Board of Directors
  • Certified copy of resolutions granting corporate officer authority to issue a Power of Attorney.
  • Certified copy of Power of Attorney or certified copy of resolution granting Power of Attorney
              
Each authorized officer must sign his/her name on any document exactly as it appears on the Certificate of Incumbency.              
Copy of Certificate of Partnership or Organization with evidence of filing in the Office of the Secretary of State certified by Secretary or Assistant Secretary of the partnership or member or manager of LLC company.              
Copy of Articles of Partnership or Organization with evidence of filing in the Office of the Secretary of State certified by Secretary or Assistant Secretary of the partnership or member or manager of LLC Company.              
Statement indicating state where partnership or LLC is registered and authority to hold OCS leases & ROWs, certified by Secretary or Assistant Secretary OR copy of Regulations of LLC certified by Secretary of Assistant Secretary or member or manager of LLC with evidence of filing with Secretary of State.              
Statements from EACH Partner, LLC Member indicating the following:
  • If a corporation: statement of State of Incorporation and authorization to hold OCS leases & ROWs certified by Secretary or Assistant Secretary over corporate seal.
  • If a partnership: statement of State of Incorporation and authorization to hold OCS leases & ROWs certified by Secretary or Assistant Secretary of same.
  • If an individual, a statement of citizenship.
              
Statement from General Partner certified by Secretary or Assistant Secretary reflecting that:
  • Each individual limited partner is a citizen of U.S. of America, and
  • Each corporate limited partner or other entity is incorporated or formed and organized under the laws of a state or territory of the U.S.
              
Evidence of authority to bind partnership or LLC company if not specified in Partnership Agreement or Articles of Organization or Regulations of LLC company, i.e. certificates of authority from Secretary or Assistant Secretary reflecting authority of officers.              
Listing of members of LLC company certified by Secretary or Assistant Secretary or any member or manager of LLC Company.              
Copy of Trust Agreement or document establishing the Trust, and all amendments thereto, duly certified by the Trustee and reference to where the original Trust documents are filed.              
Statement indicating the law under which the trust is established and that the Trust is authorized to hold OCS leases & ROWs.
